End User Agreement for GoGuides Membership.

Application for membership in GoGuides. By completing and submitting your application form you agree to be bound by the terms and conditions of this end user agreement and agree to be identified in this agreement as a GoGuides member if approved membership by GOGUIDES.

You also represent and warrant by submitting your application for GoGuides membership that you are 18 years of age or older, that the information you submit in the application form is accurate and true, and that you are authorized to act on behalf of the organization you represent to commit your company to this End User Agreement if applying for company membership.

GOGUIDES may decline any request for membership from any applicant. GOGUIDES reviews all submitted requests for membership in this program and visits the applicant's business web address (for company membership) to ensure that the applicant is a web developer or in the field of web design or site promotion. Company applicants are required to be in the field of website promotion to be approved for Company membership in this program.

GOGUIDES may email the applicant prior to approving membership to help determine if the applicant will be approved or declined membership. GOGUIDES may also, at its sole discretion, approve or decline an applicant request for membership. GOGUIDES is not required to reveal to the applicant the reason for their membership being declined, but in such a cases will reject the PayPal subscription payment so no charges or future membership charges are incurred by the applicant.

GoGuides applicants that have been approved for this program and that are not under account deactivation are allowed to make unlimited submissions. Submitted web sites may be added to any topic in the directory as long as the submitted web site is relevant to the topic where the submission is being made. All submissions made by members are approved in the system within two hours but are subsequently reviewed by GOGUIDES Team Support to ensure proper submission guidelines have been met and that the listing was submitted under the correct category or topic. GoGuides members are allowed to add rankings to the web sites they submit.

GoGuides membership is a fee-based service provided by GOGUIDES to members that maintain good standing under the terms of this agreement. The fee to commence membership in this program is based on the type of membership selected. The subscription rate charged to GoGuides members to maintain membership is based on the type of membership selected. GoGuides membership subscription payments are set up through PayPal.com as a recurring monthly subscription fee paid to [email protected], starting from the time of the applicant's enrollment. All subscription payments are non-refundable unless your membership is declined in the review process. Any GoGuides member that discontinues the recurring subscription payment being paid to GOGUIDES through PayPal.com will have their account immediately deactivated and the organization or business they represent will be required to re-apply for membership.

GOGUIDES or its owner are not liable for any delay or failure in performance of submissions being made by GoGuides members or for their ability or inability to access the members' submission page resulting directly or indirectly from acts of God, terrorism, war, or other causes beyond our reasonable control. GoGuides members are provided this service "as is", with no warranty or claims. Submission made by GoGuides members does not guarantee continued inclusion of submitted web sites in the GOGUIDES directory.

GOGUIDES maintains the right to remove any submission made by a GoGuides member and to cancel membership of any GoGuides member at any time without notice. GOGUIDES is not required to reveal to any GoGuides member why their account was deactivated but we may at our sole discretion reveal the reason for the account being deactivated.

GoGuides submissions may be moved at any time by staff, committee members or editors. Submitted web sites may also be removed due to spam, pulled from public view, re-edited, deleted, moved to another category, or have the URL changed so that the submission conforms to our submission guidelines posted at GOGUIDES Help Desk. GOGUIDES is not required to report these changes to the GoGuides members that made the submission.

GoGuides members are not allowed to edit sites in the directory or edit web sites after the submission has been posted in the directory but may use our free recycle service to request edits or deletions for resubmission. Requests to re-edit a submission must be made using the recycle service. GOGUIDES is under no responsibility to act upon such requests but may make the requested corrections if those corrections are deemed as improvements to the listing.

Every submission made by GoGuides members is monitored by staff and a record of each submission is permanently recorded in our database to ensure our submission guidelines are being met. Any violation of our submission guidelines could result in that GoGuides member account being deactivated and a US $50.00 fine imposed per violation of our submission guidelines. If account suspension occurs, GoGuides member accounts will remain deactivated until all penalty fines have been paid in full. All penalty payments for submission violations will be made to [email protected] through the PayPal account of GOGUIDES.

Any company that has had a fine imposed under these terms cannot re-apply for new membership under a new name until that fine has been paid in full. The organization or business named in the application form for GoGuides membership is solely responsible for paying any imposed fines under this end user agreement.

GOGUIDES understands that customers of company members and individual members submitted websites may at times change services. Because of this fact, changes can occur in the submitted web site without the GoGuides member having knowledge that the web site no longer meets GOGUIDES submission guidelines. GOGUIDES Team Support will always take this into consideration before imposing any penalties or fines on the GoGuides member. It is GOGUIDES utmost desire to maintain a clean, spam-free directory, but GOGUIDES will also act in all fairness to the GoGuides member when reviewing an erroneous submission.

GOGUIDES Team Support will decide, at its sole discretion, if any submission violations have occurred and if any penalty fines should be imposed on the GoGuides member. The GoGuides member will be questioned by email about any erroneous listing prior to any fines being imposed. GoGuides members cannot appeal or dispute penalties that have been imposed by GOGUIDES Team Support on their account.

GoGuides members agree to answer all questions asked by GOGUIDES Team Support concerning any submission made under their username and GoGuides members agree to respond to queries with their answer within seven business day of the request being made by GOGUIDES Team Support. Any GoGuides member that fails to answer a question asked by GOGUIDES Team Support will have their account deactivated and will have imposed a US $50.00 fine that must be paid before the GoGuides members' account can be reactivated. The GoGuides member will also be required to answer the original question before account reactivation.

GoGuides members agree to maintain a workable email address for communication purposes with GOGUIDES. Failure of a GoGuides member to maintain a working email address with GOGUIDES will result in their account being deactivated and that account will remain under suspension until a workable email address is provided to GOGUIDES Team Support.

GoGuides members agree to be bound by GOGUIDES submission guidelines that are posted in public view under our Help Desk section. Failure of a GoGuides member to properly submit a web site in the directory could result in their account being deactivated and a possible US $50.00 fine imposed per submitted violation. GoGuides members will be removed from this program for violations of our submission guidelines should a violation occur.

GoGuides members that grievously violate our submission guidelines for spam will be charged a fine of US $100.00 per incident and will be banned from using this service. Please view our Help Desk under (What is Spam) for a clear explanation of our spam policy.

GoGuides members agree never to share or give out the password that accesses their GOGUIDES submission page (members with company membership are allowed to share their password with employees but not outside of their company). Violation of this policy could result in account deactivation for the GoGuides member and, in an extreme case, the GoGuides member or business they represent could be banned from this service for life.

GoGuides members agree not to use submission scripts or programs to submit web sites through membership access. Violation of this policy could result in a US $100.00 fine per web site added, immediate account deactivation, and the GoGuides member could be banned from this service for life.

GOGUIDES's privacy policy, terms of use, and all publicly posted disclaimers are incorporated into this end user agreement. GOGUIDES reserves the right to end this program at any time without notice or refund to members; to make changes to this agreement without notification to members; and to change the pricing structure at any time. Future changes made in the terms of this end user agreement are binding and affective immediately when posted to GOGUIDES.

Should GOGUIDES make changes in the price structure for GoGuides members, a notice will be sent notifying each member of the change 30 days prior to the increase coming into effect unless the price change results in a decrease to membership. In the case of a price decrease, GOGUIDES may change the price structure without notice to current members. End users will still be bound by all terms and conditions in this agreement should any change in price structure occur.

Ownership. GoGuides members agree that GOGUIDES retains all proprietary rights, title or interest, including copyright or other material; including but not limited to text, images, and other data, submitted by GoGuides members that GOGUIDES provides as part of the Distributor's Services to the public (the "Content").

Restrictions on Use. GoGuides members agree not to copy descriptions nor sell, transfer, make available or otherwise distribute the Content to any entity or person. GoGuides members shall use their best efforts to stop any such copying or distribution immediately after such use becomes known.

No Warranty. The Content is provided "AS IS." GOGUIDES.ORG AND ITS PARTNERS DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, RELATING TO THIS AGREEMENT, THE CONTENT AND ALL PERFORMANCE HEREUNDER. GOGUIDES and its partners make no warranties regarding the completeness, accuracy or availability of the Content.

Limitation of Liability. In no event shall GOGUIDES, or its partners be liable to the GoGuides member (End-User), the organization or business the End-User represents, or the clients the End-user represents, or any other person or entity for any direct, indirect, special, exemplary or consequential damages, including lost profits, arising under this Agreement or from performance thereunder based in contract, negligence, strict liability or otherwise, whether or not GOGUIDES knew or had any knowledge, actual or constructive, that such damages might be incurred.

Indemnification. The GoGuides member (End-User), the organization or business the End-User represents and the clients the End-User services shall indemnify and hold harmless GOGUIDES and GOGUIDES's partners against any claim, damages, loss, liability or expense, including attorneys' fees, arising out of the End-User's use of the Content in any way contrary to this Agreement.

Beneficiaries of this Agreement. The rights and limitations in this GOGUIDES End-User Agreement are for the benefit of GOGUIDES, which shall have the right to enforce its rights hereunder directly and on its own behalf.

This End User Agreement is governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to its conflict of laws are provisions to your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of this End User Agreement to be unenforceable, the remainder of the End User Agreement will continue in full force and effect.

This End User Agreement constitutes the entire agreement between the applicant and GOGUIDES with respect to the subject matter hereof and any future changes made by GOGUIDES to this agreement supersedes and replaces all prior or contemporaneous understandings of this agreement, written or oral, regarding such subject matter. Any waiver of any provision in this End User Agreement will be effective only if in writing and signed by GOGUIDES
